Terms of Service

These terms define service usage, subscription behavior, licensing boundaries, and operational expectations. We've written them to be clear and fair - please take a moment to review them.

These Terms govern your use of the UpWiz website, customer and account portal, hosted APIs, billing and subscription services, and related hosted services. They do not replace the license terms that apply to open-source code distributed by UpWiz.

1. Acceptance of Terms

You agree to these Terms when you create an UpWiz account, start a trial, purchase or renew a subscription, access the customer portal, or use UpWiz hosted services. Installing or using open-source plugin code by itself does not expand these Terms beyond the hosted services you choose to use.

2. Accounts and Access

You are responsible for keeping your account credentials secure and for activity that occurs under your account. Please contact us promptly if you believe your account, license key, or access token has been misused.

3. Open-Source Software and GPL Rights

Some UpWiz code may be distributed under the GNU General Public License or another applicable open-source license. That code remains governed by its open-source license. Nothing in these Terms limits rights granted under those licenses, including rights to run, study, copy, modify, or redistribute covered code.

Access to hosted services, customer accounts, paid add-on delivery, API usage, support, or subscription features may depend on your plan and account status. Those service limits do not change the open-source license rights in code you have received under an open-source license.

4. Subscriptions, Trials, and Billing

  • Paid plans, trials, renewals, and plan limits are described at checkout, in your account, or in the applicable product materials.
  • Paid subscriptions may renew automatically unless canceled before renewal.
  • You are responsible for accurate billing and account information.
  • Payment details may be handled by payment providers. UpWiz may receive transaction, subscription, invoice, and payment-status information needed to manage your account.

5. Refunds

Refund requests are reviewed based on the applicable offer, account history, payment-provider records, and any legal requirements. Contact support with your order details if you need help.

6. Acceptable Use of Hosted Services

You agree not to misuse UpWiz hosted services or infrastructure. This includes attempting unauthorized access, bypassing account, API, rate-limit, billing, or security controls, using the services for abuse or fraud, interfering with service integrity, sending malicious traffic, or disrupting other users.

7. Intellectual Property

UpWiz branding, website content, documentation, customer portal content, hosted APIs, service infrastructure, and non-open-source materials are owned by UpWiz or its licensors and are protected by applicable law. Open-source code distributed by UpWiz remains subject to the license included with that code, and these Terms do not restrict rights granted by that license.

8. Service Availability and Changes

We work to keep hosted services reliable, but we do not guarantee uninterrupted or error-free operation. We may update, suspend, or modify hosted services when needed for security, reliability, legal compliance, or product changes.

9. Disclaimer of Warranties

Hosted services are provided “as is” and “as available” to the maximum extent permitted by law. UpWiz does not guarantee that every update, changelog, vulnerability record, or analysis result will be complete, current, or error-free.

10. Limitation of Liability

To the extent permitted by law, UpWiz is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the website, customer portal, hosted APIs, billing services, or related hosted services.

11. Suspension and Termination

We may suspend or terminate hosted-service access for non-payment, fraud risk, security risk, abuse, or material violation of these Terms. Suspension of hosted-service access does not remove open-source license rights in code you already received under an applicable open-source license.

12. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of hosted services after an update means you accept the updated Terms for those services.
